Non-Disclosure & Confidentiality Agreement

1. Purpose

The Receiving Party wishes to evaluate a possible purchase of the business known as Himalayan Grill House (the "Business"). To do so, the Owner (through the Representative) may disclose confidential information.

2. Confidential Information

Includes, without limitation: financial statements, P&L, tax returns, bank and POS/credit-card records, sales figures, supplier and payroll information, the lease and its terms, recipes, customer/vendor information, the asking and any negotiated pricing, and any other non-public information about the Business, in any form.

3. Obligations of the Receiving Party

  1. Use the Confidential Information solely to evaluate the potential purchase.
  2. Not disclose it to anyone except its own accountant, attorney, or lender/financing source, who must be informed of and bound by these confidentiality terms.
  3. Not contact the Business's staff, customers, suppliers, or landlord about the sale without the Representative's prior written permission.
  4. Not use the information to compete with, solicit, or harm the Business.
  5. On request, return or securely delete all Confidential Information and copies.

4. Verification

All figures provided are owner-reported and subject to the Receiving Party's own verification. The Owner and Representative make no warranty of accuracy; the Receiving Party is responsible for its own due diligence.

5. No Obligation / No Offer

Nothing here obligates either party to proceed with a sale, and this Agreement is not itself an offer to sell.

6. Term

Confidentiality obligations continue for two (2) years from the date above, or until the information becomes public through no fault of the Receiving Party, whichever is first.

7. Remedies & Governing Law

The Receiving Party agrees that a breach may cause irreparable harm for which money damages are inadequate, and the Owner may seek injunctive relief. This Agreement is governed by the laws of the State of Oregon.
